Welcome to 5 Star Medical Staffing, LLC (“we,” “us,” or “our”). By accessing or using our website (https://www.5starmedicalstaffing.com/) or engaging our healthcare staffing services, you agree to the following Terms and Conditions. These Terms are governed by the laws of the State of Florida.

1. Services Overview

We specialize in healthcare staffing solutions, including but not limited to travel nursing, per diem shifts, long-term assignments, and temp-to-perm placements for Registered Nurses (RNs), Licensed Practical Nurses (LPNs), Certified Nursing Assistants (CNAs), and other healthcare professionals (the “Services”).

All Services are detailed in a formal Service Agreement that outlines the scope, duration, pricing, and compliance requirements.

2. Acceptance of Terms

By using our Services or website, you confirm that you have read, understood, and agreed to these Terms. You represent that you are authorized to enter into this agreement on behalf of your organization or yourself (if you are a healthcare professional).

3. Service Agreement

A signed Service Agreement is required prior to the commencement of Services. This document will outline deliverables, fees, responsibilities, and expectations.

Any changes to scope, assignment terms, or deliverables must be made in writing and mutually agreed upon. Additional charges may apply for scope adjustments.

4. Payment Terms

All fees, payment schedules, and billing terms are outlined in the executed Service Agreement. Invoices are due upon receipt unless otherwise specified. We reserve the right to suspend Services or withhold placements in case of overdue payments. Late payments may accrue interest in accordance with Florida law.

5. Confidentiality & Data Security

We are committed to maintaining the confidentiality of both client and candidate information. We employ reasonable safeguards to protect data. However, we are not liable for unauthorized access or breaches caused by third-party systems or factors beyond our control.

All personal health and identity-related information will be handled in compliance with HIPAA and relevant data protection laws.

6. Intellectual Property

Any documents, training guides, recruitment strategies, or proprietary materials provided remain the property of 5 Star Medical Staffing, LLC until full payment is received.

Upon full payment, the client may use the deliverables for internal business purposes. We reserve the right to reference non-confidential work for marketing or portfolio purposes unless otherwise instructed in writing.

7. Third-Party Platforms & Access

Our services may involve credentialing portals, scheduling platforms, compliance tools, or payroll systems provided by third parties.

Clients agree to comply with these platforms’ terms of use. If access is required, clients may provide administrative credentials, preferably through dedicated accounts, and are encouraged to revoke access after our engagement ends.

8. Performance Disclaimer

While we make every effort to provide quality placements and staffing matches, we do not guarantee specific results including but not limited to fill rates, performance outcomes, retention, or facility star ratings.

Outcomes may be influenced by external factors such as workforce availability, market demand, and regulatory changes.

9. Responsibilities of Clients and Facilities

Clients are responsible for:

  • Providing a safe and lawful work environment
  • Ensuring that placed staff have access to necessary tools, training, and onboarding
  • Adhering to all relevant labor, licensing, and healthcare compliance regulations

Clients must also communicate changes in staffing needs, shift cancellations, or workplace incidents promptly.

10. Responsibilities of Healthcare Professionals

Healthcare professionals placed through our agency are expected to:

  • Maintain valid and active licenses or certifications
  • Abide by all applicable laws, facility rules, and patient care standards
  • Protect patient confidentiality and uphold professional conduct

Failure to comply may result in removal from current or future assignments.

11. Cancellations and Termination

Either party may terminate a Service Agreement with 30 days written notice.

If Services are terminated, the client will be invoiced for all placements and hours rendered up to the effective termination date. We reserve the right to terminate Services immediately in the event of breach, misuse, or unsafe conditions.

12. Limitation of Liability

To the fullest extent permitted by law, our total liability shall not exceed the amount paid for the specific Services in question.

We are not liable for indirect, incidental, or consequential damages including but not limited to loss of business, staffing shortages, or compliance penalties.

13. Indemnification

You agree to indemnify and hold harmless 5 Star Medical Staffing, LLC and its representatives from any and all claims, damages, liabilities, or legal expenses resulting from your misuse of our Services, breach of these Terms, or failure to meet legal and regulatory obligations.

14. Governing Law & Jurisdiction

These Terms shall be governed by the laws of the State of Florida. All legal proceedings arising out of or in connection with these Terms shall be brought in the courts located in Broward County, Florida.

15. Modifications to Terms

We reserve the right to amend or update these Terms at any time. Any changes will be posted on our website. Continued use of our Services constitutes your acceptance of the revised Terms.
